Scope of Services & Platform Usage

These terms outline the precise scope of AI image recognition tools and platform development services provided by ChartWise. They detail platform access, functionality, and the technical specifications users can expect. ChartWise is committed to delivering high-performance, secure visual recognition solutions tailored to enterprise needs.

Account Creation and User Responsibilities

Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. Accuracy of provided information during account creation is paramount, and users agree to promptly update any changes.

Acceptable Use Policies and Prohibited Activities

Our services are designed for legitimate business purposes. Any use that violates applicable laws, infringes on intellectual property rights, or is deemed harmful, offensive, or malicious is strictly prohibited. Detailed guidelines on acceptable use are provided to ensure a secure and ethical operating environment for all.

Service Availability and Performance Commitments

ChartWise endeavors to maintain high service availability and performance. While we strive for uninterrupted service, planned maintenance and unforeseen circumstances may impact availability. Our commitments regarding uptime and performance metrics are clearly defined.

Modification Procedures and Notification

ChartWise reserves the right to modify these terms as business needs and legal requirements evolve. Users will be notified of any significant changes via email or prominent platform announcements, providing sufficient time for review before modifications take effect.

Intellectual Property Rights and Protections

Protecting intellectual property is core to the innovative nature of AI. ChartWise ensures robust frameworks for both our proprietary solutions and our clients' valuable data and insights.

ChartWise Ownership and Licensing

All ChartWise proprietary software, algorithms, platforms, and methodologies developed prior to or independently of a client engagement remain the exclusive intellectual property of ChartWise. Client access is granted via non-exclusive, non-transferable licenses as specified in service agreements.

Client Data Ownership and Usage Rights

Client-provided data, including images, annotations, and internal insights, remains the sole property of the client. ChartWise uses client data strictly for the provision of contracted services, such as model training and analysis, and under explicit terms of use which prevent unauthorized access or distribution.

Custom Development Ownership and Licensing

For custom AI model development or platform features specifically commissioned by a client, ownership and licensing terms will be clearly delineated in the individual Statement of Work (SOW). Options range from full client ownership to shared intellectual property rights, always defined with transparency.

Third-Party Intellectual Property Respect

ChartWise is committed to respecting the intellectual property rights of third parties. Our internal processes ensure that all components and methodologies comply with relevant licenses and regulations. Clients are similarly expected to ensure their data and use cases respect third-party rights.

Confidentiality and Trade Secret Protections

Both ChartWise and our clients agree to maintain strict confidentiality regarding proprietary information and trade secrets exchanged during our engagements. Comprehensive Non-Disclosure Agreements (NDAs) are standard practice to secure sensitive data and strategic insights.

Liability, Warranties, and Risk Allocation

ChartWise provides enterprise-grade AI solutions with defined performance expectations and clear limitations of liability to ensure a predictable and secure partnership.

Service Warranties and Performance Guarantees

ChartWise warrants that its services will be performed with professional care and skill, conforming to industry standards. Specific performance guarantees, including accuracy rates for AI models or platform uptime, will be detailed in individual service level agreements (SLAs).

Limitation of Liability and Damage Exclusions

Our liability for any claims arising from the use of our services is limited to the fees paid by the client for the specific services giving rise to the claim. We exclude liability for indirect, incidental, special, or consequential damages, including loss of profits or data.

Indemnification Procedures and Responsibilities

Each party agrees to indemnify and hold harmless the other from third-party claims arising from their respective breaches of these terms or negligent acts. Specific indemnification clauses will address potential intellectual property infringement claims related to AI model outputs or data inputs.

Force Majeure and Service Interruption Policies

ChartWise is not liable for delays or failures in performance caused by events beyond its reasonable control, such as natural disasters, war, or governmental actions. In such force majeure events, we commit to prompt communication and reasonable efforts to restore services.

Insurance Coverage and Risk Management

ChartWise maintains comprehensive insurance coverage, including professional liability and cybersecurity policies, to manage potential risks associated with advanced AI solutions. Details of our risk management strategies are available upon request for larger enterprise engagements.

Termination and Data Handling Procedures

Clear processes for contract termination and responsible data handling are essential for a professional and ethical partnership. ChartWise outlines these procedures with transparency.

Contract Termination Procedures and Notice

Either party may terminate a service agreement under specific conditions, typically requiring a written notice period as defined in the contract. We aim for straightforward procedures to facilitate an orderly disengagement.

Data Retention and Deletion Policies

Upon termination, client data will be handled according to agreed-upon protocols, which typically include a specified retention period followed by secure deletion from our systems. Data archival options may be available for extended periods.

Transition Assistance and Knowledge Transfer

ChartWise is committed to providing reasonable transition assistance upon contract termination, including documentation and knowledge transfer to ensure minimal disruption to client operations and continuity of services with new providers if applicable.

Post-Termination Obligations and Survival Clauses

Certain obligations, such as confidentiality, intellectual property rights, and payment of outstanding fees, will survive the termination of the agreement. These survival clauses ensure continued protection of critical interests.

Dispute Resolution and Arbitration Procedures

In the event of a dispute, both parties agree to engage in good faith negotiations to reach a resolution. If direct negotiation is unsuccessful, the terms outline non-binding mediation or binding arbitration as the next steps, aiming to resolve issues efficiently and amicably.
